These Terms of Service (“Terms”) form a binding agreement between you and Cyber Sanctuary Labs (“Cyber Sanctuary,” “memevpn,” “we,” or “us”). Please read them carefully. If you do not agree, do not use the Service.
Acceptance of these Terms
By installing, accessing, or using the Cyber Sanctuary applications, websites, APIs, or VPN network (the “Service”), you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference.
Eligibility & account
- You must be at least 18 years old (or the age of majority in your jurisdiction) to hold an account.
- You must provide a valid email and a password that meets our complexity requirements.
- You are responsible for all activity under your account and for keeping your credentials confidential.
- You must notify us promptly at security@cybersanctuary.example of any unauthorized use.
License to use the Service
Subject to your compliance with these Terms, Cyber Sanctuary grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, solely for your personal, non-commercial use (or, if you hold a business subscription, for use within your organization under the tier you purchased).
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
Prohibited conduct
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Send unsolicited bulk messages, phishing, or malware.
- Conduct, facilitate, or participate in denial-of-service attacks, port scanning, or intrusion against third-party systems.
- Upload, distribute, or download content that constitutes child sexual abuse material or incites violence against individuals or groups.
- Transmit content that infringes the copyright, trademark, patent, trade-secret, or other intellectual-property rights of another party.
- Attempt to reverse-engineer, decompile, or derive source from the client binaries, except where such restriction is prohibited by law.
- Interfere with or disrupt the integrity or performance of the Service, including by circumventing rate limits or authentication.
- Resell, sublicense, or otherwise commercially redistribute access to the Service without a written commercial agreement.
Although our zero-logs architecture prevents us from monitoring your traffic, we may act on reports of abuse received from third parties or law enforcement.
Subscriptions, billing, and renewal
- Prices are displayed at checkout in the currency shown. Applicable taxes are added where required.
- Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled at least 24 hours before renewal.
- You may manage or cancel renewals from your account page or, for in-app purchases, from the App Store or Google Play subscription settings.
- Payments are processed by our payment partners. Their terms may also apply to that transaction.
Free trial
New accounts may be offered a 7-day free trial. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged the advertised rate.
Refunds & cancellation
- You may request a full refund within 14 days of your first paid purchase by emailing support@cybersanctuary.example.
- Refunds for renewal periods are issued at our discretion, pro-rated to unused time.
- Purchases made through the App Store or Google Play are governed by those platforms’ refund policies; we will support your request where possible.
Service availability
We target a monthly uptime of 99.9%, measured across the overall fleet. Individual nodes may be taken offline for maintenance or security. We do not guarantee that any particular node, protocol, or geographic region will be continuously available.
Intellectual property
The Service, including all software, trademarks, logos, and content (other than user content and open-source components under their respective licenses), is owned by Cyber Sanctuary Labs or its licensors and is protected by copyright and other laws. These Terms grant you no ownership rights in the Service.
Third-party services
The Service may interoperate with third-party software, services, or websites. We are not responsible for their availability, accuracy, or content. Your use of those third parties is governed by their own terms and privacy policies.
Suspension & termination
- You may close your account at any time from account settings. Cancellation stops future billing; it does not refund the current period by default.
- We may suspend or terminate access, with or without notice, if we determine that you have breached these Terms, pose a risk to the Service or to other users, or to comply with law.
- Sections intended by their nature to survive (including §10, §13–§16) will survive termination.
Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Cyber Sanctuary disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Limitation of liability
To the maximum extent permitted by law, in no event will Cyber Sanctuary, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, or goodwill; or the cost of substitute services, arising out of or in connection with these Terms or the Service, whether based on contract, tort, strict liability, or any other theory.
Our aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the event giving rise to the claim, or (b) USD $100.
Indemnification
You agree to indemnify, defend, and hold harmless Cyber Sanctuary and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your content, or your violation of these Terms.
Governing law & disputes
These Terms are governed by the laws of the Cayman Islands, without regard to its conflict-of-laws provisions. Any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered under the Cayman International Mediation and Arbitration Centre rules, with the seat of arbitration in George Town, Cayman Islands, in English. You and Cyber Sanctuary each waive any right to a jury trial and to participate in a class action, to the maximum extent permitted by law.
Changes to these Terms
We may modify these Terms from time to time. If the changes are material, we will notify account holders at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
Miscellaneous
- These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between you and us concerning the Service.
- No waiver of any provision will be deemed a waiver of any other provision or of that provision on any other occasion.
- If any provision is held unenforceable, the remaining provisions will remain in effect.
- You may not assign these Terms without our prior written consent; we may assign them freely.
- We are not liable for failures or delays caused by events beyond our reasonable control, including acts of government, network outages, and natural disasters.
